Terms Of Use

Effective Date: 21-10-2026

1. About these Terms

1.1 These Terms of Use (“Terms”) govern your access to and use of the website https://lexedge.co.in, its sub-pages, client login area, tools, newsletters and related online services (together, the “Website”).

1.2 The Website is owned and operated by [Legal Entity Name], a [company / LLP] incorporated under the laws of India with [CIN/LLPIN], having its registered office at [Registered Office Address] (“LEXEDGE”, “we”, “us” or “our”).

1.3 By accessing or using the Website, you agree to these Terms and to our Privacy Policy, which forms part of these Terms. If you do not agree, please do not use the Website.

1.4 These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They do not require a physical or digital signature.

2. Definitions

In these Terms:

  • “User” or “you” means any person who visits or uses the Website, including a person acting on behalf of a business.
  • “Client” means a User who has engaged LEXEDGE for Services under an accepted proposal, engagement letter or invoice.
  • “Services” means the legal, compliance, tax, secretarial, intellectual property, licensing, documentation, dispute resolution and advisory services described on the Website.
  • “Professionals” means the company secretaries, chartered accountants, advocates, tax practitioners and other qualified persons who work with or are engaged by LEXEDGE.
  • “Content” means all text, articles, insights, compliance calendars, deadline counters, tools, templates, graphics, logos and other material on the Website.

3. Eligibility

3.1 You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872 to use the Website or engage our Services.

3.2 If you use the Website on behalf of a company, firm or other organisation, you confirm that you are authorised to bind it to these Terms.

4. Bar Council of India disclaimer

4.1 The rules of the Bar Council of India do not permit advocates to solicit work or advertise. By accessing this Website, you acknowledge and confirm that:

  • you are seeking information about LEXEDGE of your own accord, and there has been no advertisement, solicitation, invitation or inducement of any kind from LEXEDGE or any of its Professionals;
  • the information on this Website is provided only on your request and for informational purposes; and
  • any information you obtain or download from this Website is entirely at your own discretion.

5. No legal advice and no professional relationship

5.1 Content on the Website, including articles, FAQs, compliance updates, deadline counters and the entity-structure tool, is general information only. It is not legal, tax, accounting or financial advice and should not be relied on as such.

5.2 Recommendations from interactive tools on the Website are indicative only and are generated from limited inputs. They must be validated with a Professional against your specific circumstances.

5.3 Using the Website, submitting an enquiry, booking a free consultation or sending us an email does not by itself create an advocate-client, professional-client or fiduciary relationship. Such a relationship begins only when LEXEDGE confirms an engagement in writing.

5.4 Please do not send confidential or time-sensitive information through the Website’s contact forms before an engagement is confirmed.

6. Free consultations

6.1 We may offer a free initial consultation (currently up to 20 minutes) by phone or video call. Its purpose is to understand your requirements and propose a scope and fee. It is not a substitute for a full engagement.

6.2 Slots are subject to availability. We may decline, reschedule or limit free consultations at our discretion.

7. Our Services and engagements

7.1 The Services described on the Website are indicative. The exact scope, deliverables, timelines and fees for each matter are set out in a written proposal, engagement letter or invoice (an “Engagement Document”). If an Engagement Document conflicts with these Terms, the Engagement Document prevails for that matter.

7.2 Services are delivered by Professionals qualified for the relevant work. Representation before courts, tribunals and other forums where only an enrolled advocate may appear is undertaken by independent advocates enrolled with a State Bar Council, who may be engaged by the Client directly or through LEXEDGE’s coordination.

7.3 Timelines on the Website (for example, “7–12 working days” for incorporation or “average turnaround”) are estimates. Many outcomes depend on government authorities such as the Ministry of Corporate Affairs, the Registrar of Companies, the Trade Marks Registry, GST authorities, FSSAI and DPIIT. We do not guarantee any approval, registration, name availability, recognition, judgment or outcome, or the time an authority takes.

8. Fees, government charges and payment

8.1 Professional fees are as stated in the Engagement Document. Unless stated otherwise, fees exclude GST and other applicable taxes.

8.2 Government fees, stamp duty, filing charges, late fees and penalties levied by any authority are payable by the Client at actuals and are shown separately.

8.3 Fees are payable in advance unless the Engagement Document provides otherwise. We may pause work on a matter while any amount is overdue.

8.4 Payments made online are processed by third-party payment gateways. We do not store your full card or bank details. Your use of the payment gateway is subject to its own terms.

8.5 Work outside the agreed scope is billed separately, after we tell you the additional fee and you approve it.

9. Cancellations and refunds

9.1 You may cancel an engagement by writing to support@lexedge.co.in. If you cancel within [Refund window] of payment and before any work has started, we will refund the professional fee less payment-gateway charges.

9.2 Once work has started, we will refund only the portion of the professional fee for work not yet performed, as reasonably determined by us.

9.3 Government fees, stamp duty and other amounts already paid to an authority or third party are not refundable by us.

9.4 Approved refunds are made to the original payment method within [number] working days.

10. Your responsibilities as a Client

10.1 You agree to provide complete, accurate and genuine information and documents on time, and to inform us promptly of any change.

10.2 You remain responsible for the accuracy of information in filings made on your behalf, for reviewing drafts before you approve them, and for any decision you take on the basis of our advice.

10.3 Compliance calendars, deadline counters and reminders are a convenience. Statutory deadlines remain your responsibility. We are not liable for a missed deadline, penalty or late fee caused by delayed or incomplete information, delayed payment or delayed approval on your side.

10.4 You confirm that you have the right to share any personal data of third parties (such as directors, shareholders, partners, employees or nominees) that you provide to us, and that you have informed them as required by law.

11. Client login and accounts

11.1 Some features, such as document upload, filing status and the compliance dashboard, may require a client account.

11.2 You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately at support@lexedge.co.in if you suspect unauthorised use.

11.3 We may suspend or close an account that is inactive, misused, or used in breach of these Terms.

12. Website Content, tools and communications

12.1 We try to keep Content accurate and current, but laws, rules, due dates and government fees change often. Content may not reflect the latest position and is provided “as is”.

12.2 If you subscribe to compliance updates or deadline reminders, you agree to receive them by email, SMS or WhatsApp. You can unsubscribe at any time using the link in the message or by writing to us.

12.3 By providing your phone number, you agree that we may contact you about your enquiry or engagement, even if your number is registered on the National Do Not Call registry. We will not send you promotional calls or messages without your consent.

13. Confidentiality

13.1 We treat information shared with us in the course of an engagement as confidential and use it only to deliver the Services, subject to any disclosure required by law, a court or a regulator.

13.2 How we collect, use, store and share personal data is explained in our Privacy Policy.

14. Intellectual property

14.1 The Website and its Content, including the LEXEDGE name and logo, “The Founder Kit”, “The Startup Legal Kit”, text, design, tools and code, are owned by or licensed to LEXEDGE and are protected by Indian and international intellectual property laws.

14.2 You may view and print Content for your own internal, non-commercial use. You may not copy, reproduce, republish, frame, scrape, sell or create derivative works from the Content without our prior written consent.

14.3 Documents we draft for you under an engagement are licensed to you for use in your business once our fees for them are paid in full. Our underlying templates, precedents and know-how remain our property.

15. Acceptable use

You agree not to:

  • use the Website for any unlawful, fraudulent or misleading purpose, or to submit false or another person’s information;
  • impersonate any person or misrepresent your affiliation with any person or business;
  • upload viruses, malware or any code designed to disrupt, damage or gain unauthorised access to the Website or its systems;
  • use bots, scrapers or automated means to access the Website or collect data from it;
  • attempt to probe, scan or test the vulnerability of the Website, or bypass any security or authentication measure;
  • interfere with other users’ use of the Website; or
  • post or transmit content that is defamatory, obscene, infringing, or that violates Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

16. Third-party links and services

The Website may link to or integrate third-party websites and services, such as government portals, payment gateways, calendar booking tools, video-call platforms and social media. We do not control them and are not responsible for their content, availability or privacy practices. Your use of them is at your own risk and subject to their terms.

17. Disclaimer of warranties

The Website and Content are provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose and uninterrupted or error-free operation. Testimonials and statistics on the Website reflect individual experiences or past results and do not guarantee any outcome for you.

18. Limitation of liability

18.1 To the extent permitted by law, LEXEDGE, its directors, partners, Professionals and employees will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, business, data or goodwill, arising from your use of the Website or the Services.

18.2 Our total liability for any claim arising from the Website or a particular engagement will not exceed the professional fees you actually paid to LEXEDGE for that engagement in the 12 months before the claim arose (excluding government fees and taxes). Where no fees were paid, our total liability will not exceed INR 5,000.

18.3 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

19. Indemnity

You agree to indemnify and hold harmless LEXEDGE and its Professionals from any claims, losses, penalties and reasonable costs (including legal fees) arising from your breach of these Terms, false or incomplete information or documents you provide, or your violation of any law or third-party right.

20. Suspension and termination

We may suspend or end your access to the Website, or decline or stop an engagement, if you breach these Terms, fail to pay fees when due, provide false information, or if continuing would breach any law or professional rule. Sections that by their nature should survive (including 13, 14, 17, 18, 19 and 22) survive termination.

21. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new Effective Date. Your continued use of the Website after that date means you accept the updated Terms. For active Clients, material changes will not apply to an ongoing engagement without notice.

22. Governing law and dispute resolution

22.1 These Terms are governed by the laws of India.

22.2 Any dispute arising from these Terms or your use of the Website will first be raised with our Grievance Officer, and the parties will try to resolve it amicably within 30 days.

22.3 If it is not resolved, the dispute will be referred to arbitration by a sole arbitrator appointed by mutual consent, under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Mumbai, Maharashtra, and proceedings will be in English. The parties may agree to conduct the arbitration online.

22.4 Subject to the above, the courts at Mumbai, Maharashtra will have exclusive jurisdiction.

23. General

If any provision of these Terms is held invalid, the rest remain in force. Our failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our consent. These Terms, the Privacy Policy and any Engagement Document form the entire agreement between you and us about the Website.
